AudioVector Terms & Conditions
1. Agreement to Terms
By purchasing credits or using the AudioVector vectorization service ("the Service"), operated by TMC Publishing Limited ("we", "us", "our"), you agree to be bound by these Terms & Conditions. If you do not agree, do not purchase credits or submit audio for processing.
2. The Service
AudioVector is a credit-based service that generates 512-dimensional audio embedding vectors from tracks you provide. Results are delivered as JSON files to the email address associated with your order. The Service uses Microsoft's CLAP neural network model.
3. Credits
- One (1) credit vectorizes one (1) audio track.
- Credits are purchased in packs as displayed on the AudioVector pricing page.
- Credits have no cash value, are non-transferable, and may not be resold or exchanged for money.
- Unused credits remain available for future submissions unless your account is terminated for breach of these terms.
4. Your Audio
By submitting audio files or granting access to your tracks, you confirm that:
- You own the audio or have all necessary rights and permissions to submit it for processing.
- Your submission does not infringe any third-party intellectual property, privacy, or other rights.
- You grant us a limited, temporary licence to access, process, and vectorize your audio solely to deliver the Service.
Supported formats include MP3, WAV, FLAC, AIFF, M4A, AAC, and other common audio formats. We may decline files that are corrupted, unsupported, or submitted in breach of these terms.
5. Processing and Turnaround
We aim to complete processing within one (1) business day of receiving your tracks and any required access details. "Business day" means Monday through Friday, excluding UK public holidays. Larger batches or technical issues may extend turnaround — we will notify you if a delay is expected.
6. Delivery
Embedding JSON files are delivered to the email address provided at checkout. You are responsible for ensuring that email address is correct and that you can receive attachments or download links. We are not liable for delivery failures caused by incorrect email addresses, spam filters, or mailbox limits on your side.
7. Deletion of Source Audio
Your source audio files are used only to generate embeddings. After processing is complete and results have been delivered, we delete your uploaded tracks and any copies held for processing purposes within fourteen (14) days of delivery, unless a longer retention period is required by law or agreed in writing. We do not retain, sell, license, or redistribute your audio content.
8. Purchases and Payments
Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all orders. Paddle provides customer service inquiries and handles returns in accordance with its policies.
- Prices are shown in euros (EUR) unless otherwise stated at checkout.
- Credit packs are delivered electronically upon successful payment.
- Refund requests are handled through Paddle and are subject to applicable consumer protection law and Paddle's refund policy.
9. Acceptable Use
You agree NOT to submit audio that:
- You do not have the right to process;
- Contains unlawful, defamatory, or infringing content;
- Is submitted to reverse-engineer, benchmark, or replicate the Service without authorisation;
- Is used to harass, abuse, or harm others.
We may refuse, suspend, or terminate processing and forfeit unused credits if you breach these terms.
10. Intellectual Property
You retain ownership of your original audio. We retain all rights in the Service, our processing systems, and the CLAP model implementation. Embedding vectors generated from your audio are provided for your use in your applications and databases, subject to these terms.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT EMBEDDINGS WILL MEET ANY SPECIFIC ACCURACY OR PERFORMANCE THRESHOLD FOR YOUR USE CASE.
12. Limitation of Liability
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE CREDIT PACK GIVING RISE TO THE CLAIM.
13. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.
